1. Description of Service

RepresentMe Talent Systems LLC provides an AI-driven digital representation platform. The Platform allows candidates to be virtually represented via a chatbot proxy ("MyRep") and provides recruiting firms with branded portals to facilitate virtual candidate interviews.

2. Intellectual Property & "Avatar Tech"

2.1 Ownership of Platform IP

All rights, title, and interest in and to the Platform, including the "MyRep" engine, underlying AI models, proprietary "Avatar Tech" algorithms, source code, software designs, and all visual interfaces (collectively, the "Platform IP") are the sole and exclusive property of RepresentMe Talent Systems LLC.

2.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access the Platform for its intended professional purposes.

2.3 Restrictions

You shall not attempt to reverse engineer, decompile, or "scrape" the Avatar Tech or any portion of the Platform IP.

3. Data Ownership and Privacy

3.1 Candidate & User Content

As between the Company and the User, the User (or the associated Recruiting Firm) shall retain all right, title, and interest in and to any candidate resumes, personal history, or interview transcripts uploaded to or generated by the Platform ("User Content").

3.2 Texas Data Privacy (TDPSA)

In accordance with the Texas Data Privacy and Security Act, the User is designated as the "Data Controller" and the Company is the "Data Processor." You represent that you have obtained all necessary legal consents from candidates prior to uploading their data to the Platform.

3.3 Aggregated Data

Company reserves the right to use anonymized, non-identifiable, and aggregated data derived from Platform usage to improve its AI models.

4. Recruiter Upgrades & Custom Branding

4.1 Agency Branding

Recruiters and agencies utilizing the professional tier may upload custom avatars, photographs, and logos to the Platform.

4.2 Image Rights

By uploading an image or avatar, you warrant that you possess the legal right and necessary permissions to use such imagery. You agree to indemnify the Company against any third-party claims of copyright or trademark infringement related to User-uploaded branding.

5. The "Representation" Shield & Liability

5.1 Nature of AI Proxy

You acknowledge that the Platform's chatbot is an artificial intelligence proxy and not a human agent. The AI represents information based on data provided by the User.

5.2 No Liability for Misrepresentation

RepresentMe Talent Systems LLC is a technology provider only. We do not verify the factual accuracy of User-provided data. The Company shall not be liable for any claims of misrepresentation, factual errors, or AI "hallucinations" occurring during an interview interaction.

5.3 Responsibility for Verification

It is the sole responsibility of the hiring manager or recruiter to independently verify the professional qualifications and factual claims of any candidate prior to making a hiring decision.

6. Limitation of Liability

To the maximum extent permitted by the laws of the State of Texas, RepresentMe Talent Systems LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, employment opportunities, or professional reputation, arising out of or in connection with your use of the Platform.

7. Indemnification

You agree to defend, indemnify, and hold harmless RepresentMe Talent Systems LLC from and against any claims, damages, or legal expenses arising from (i) your User Content, (ii) your violation of these Terms, or (iii) your use of the Platform to provide false or misleading professional information.

8. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas.
